Preheat oven to 250 degrees. Spray a roasting pan with cooking spray. Add popcorn to the pan. Place in oven while preparing caramel.
In a saucepan, mix brown sugar, corn syrup, margarine, and salt. Stir constantly. Bring to a boil over medium heat.
Allow to boil for 5 minutes without stirring. Remove from heat. Stir in vanilla and baking soda. Mix well.
Pour syrup over popcorn; coat evenly.
Bake for 40 minutes, stirring occasionally. Allow to cool. Break apart. Serve or store tightly.
